Affiliate Scheme Terms and Conditions
These terms and conditions explain how Time Health’s affiliate programme works and the rules that govern it. Please do not hesitate in getting in touch with us if you have any questions.
Within these terms and conditions, the following words have the following meanings attached to them:
“Time Health”, “we”, “us”, and “our” refers to Time Health Ltd, based at Unit 10A Michael Way, Maresfield, Uckfield, England, TN22 2DU.
“Affiliate”, “you” and “your” refers to you, as an affiliate of Time Health.
“Affiliates” refers to all affiliates of Time Health.
“Affiliate Account” refers to the account you set up with us as an affiliate.
“Affiliate Programme ” refers to our brand promotion programme with individuals whom have registered as affiliates.
“Confidential Information” refers to documents and materials we provide you with which should reasonably be considered confidential.
“Website” refers to timehealth.co.uk.
Registering and Setting Up an Affiliate Account and Earning Commission
To begin the Affiliate registration process, sign-up to our Affiliate Programme on our Website. After you’ve signed up, we’ll send you a unique coupon discount code that will be valid for one year (new coupon codes will be reissued each year). Once you’ve received your code, you are free to use this wherever you wish including but not limited to your website, social media and videos. You are also free to pass your code on to other individuals. Commission paid to you is based on attributed Website sales after deduction of tax and delivery charges paid by the customer.
For an added benefit to your audience, your affiliate code will entitle them to 15% off orders over £20. Please note, codes cannot be used in conjunction with one another, for example, customers would not be able to receive 15% off with an affiliate code in addition to 10% off orders over £20. Affiliate codes also cannot be used against items that are on sale.
Commission is set at 12% of the total sale value.
Time Health reserve the right to reject any referrals for any reason which we believe to be in violation of these Terms. For example, referrals will typically be rejected if any of the following applies:
- The sale that generated the commission has been refunded.
- The referral method violated our policies or the spirit of our policies.
- The affiliate uses their own affiliate code to make a purchase – for example, buying a product for personal use.
- The referral came from a link on a coupon sharing or discount site or browser app.
Payments
Affiliates are paid through PayPal. You as an Affiliate must have a PayPal account in order to receive payment from Time Health. It is your responsibility to make sure your PayPal email address listed on your Affiliate Account is up-to-date and correct, if there are any changes made to your payment account, you must inform us. Time Health is not responsible for issues resulting from not having your updated PayPal details.
Affiliate payment dates are on the last Friday of January, March, May, July, September and November.
Affiliates are paid gross. It is the sole responsibility of the Affiliate to declare and pay any tax or insurance due on payments from us, and you indemnify Time Health against any claims, losses, damages, or any other liabilities that arise due to not declaring and paying required tax or insurance.
Before a payout can be made, affiliates must reach the minimum commission threshold of £50. If an affiliate has not reached the minimum threshold 2 weeks prior to the last Friday of a payment month, the payout will be held until the minimum threshold has been reached and paid on the next payment date, providing the minimum threshold has been met in the timeframe as previously described.
Any commission earned within 14 calendar days prior to a payout will be held to allow for any order cancellations or amendments. This commission will be paid on the next payment date.
Affiliates can request an early payout at any stage, providing the minimum threshold of £50 has been reached at least 14 calendar days prior to the request being made. The decision to fulfil this request is at the sole discretion of Time Health.
The Relationship between Time Health and Affiliate
Neither Time Health nor Affiliates are the agent, partner or employee of the other, and at no time will you promote yourself as such.
You agree that you have no right to enter into a contract or agreement on behalf of Time Health. You will not make any suggestion or indication that you are acting on behalf of, or are in any way capable of binding Time Health.
Affiliate Obligations
As an Affiliate you agree that you:
(a) Will not use your own affiliate code to make purchases on our Website.
(b) Will not add your affiliate code or direct anybody else to add your affiliate code on any coupon or discount site or browser app.
(c) Will follow reasonable instructions made by Time Health in relation to working with us as an Affiliate.
(d) Will promote Time Health and our products in the best light and not make/publish any negative statements.
(e) Will make us aware of any and all enquiries regarding Time Health or our products promptly.
(f) Will make yourself familiar with Time Health and our products.
(g) Will cover all expenses incurred in relation to your activities as an Affiliate of Time Health.
(h) Will not make inaccurate statements or representations regarding our products online or elsewhere.
(i) Will not promote your code with SPAM or unsolicited emails.
(j) Will not promote your code in a way that may cause offence to anyone else including competitors.
(k) Will make one conversion in a 6 month period. Failure to do this will result in your account being terminated due to lack of use.
Terminations and Closure of Affiliate Accounts
If, at any time, you wish to end your affiliate membership, you can do so by notifying us. Your membership can be ended as soon as we’ve received notification from you. Any unpaid commission earned up until the point of termination will be paid on the next Affiliate payment date as mentioned above.
If you, the Affiliate, breach any of the terms and condition of our Affiliate Programme, we reserve the right to immediately terminate your Affiliate Account and any unpaid commission associated to the offending account will no longer be payable. In the event we ask you to rectify the breach (if it can be rectified) you have 7 days from the day of our request to make the appropriate changes or we will terminate your Affiliate Account. If we do decide to terminate your account after the 7 days has passed, any commission made within the 7 day period will be paid to you on the next payment date.
In addition to the termination provisions mentioned above, both the Affiliate and Time Health will be entitled to immediately terminate your membership to the Affiliate programme by notification made in writing should either party be declared bankrupt or enter into insolvency or administration proceedings.
The above termination rights do not prejudice any other rights or remedies available to you or us.
If your account is terminated, you will be entitled to any unpaid commission unless otherwise stated in these terms and conditions.
If your account is terminated, neither you nor Time Health will have any further obligation to abide by these terms and conditions.
Indemnification
By signing up to our Affiliate Programme, you indemnify, defend and hold harmless Time Health and it’s directors, employees, distributers and agents from claims, wages, lawsuits or other liabilities (including without limitation, reasonable legal fees and court costs) for injury to any person or for loss or damage to personal property, arising from misrepresentation by you regarding Time Health or our products.
Confidentiality
Affiliates agree not to disclose, directly or indirectly, any confidential information relating to Time Health or our products without written authorisation. You will exercise a reasonable level of care in protecting confidential information from disclosure and, in particular, you agree that you will keep login details safe and secure and will not share them with a third party. You will not use any confidential information relating to Time Health or our products for any other purpose other than promotion of Time Health.
You agree, in the event you disclose our confidential information, Time Health will be entitled to use any remedies available to us to enforce these confidentiality provisions.
Intellectual Property Rights
All rights, including intellectual property rights, specifically relating to products sold on our Website, our Website content and any other information and materials relating to Time Health and our products are owned by Time Health.
Affiliates are granted, for the duration of their membership, non-exclusive, non-transferable, non-assignable global licence to use our intellectual property rights for the promotion of Time Health and our products, in accordance with these terms. However, membership to the Affiliate Programme does not transfer to you any rights in relation to our brand, trade names or trademarks.
You agree not to use any trade names or trademarks that are the same or could be confused with those used by Time Health.
Limitation of Liabilities
We make no guarantees, with regards to our Affiliate Programme, of your ability to earn income, nor do we guarantee our website will be available or operational at any time.
Time Health will not be held liable for any special, indirect, incidental or consequential damages arising from your membership to our Affiliate Programme, including but not limited to damages relating to our Website or our products not be available for any length of time.
Time Health’s liability for claims of any kind relating to these terms and conditions, is limited to money damages and only up to the value of commission due to an affiliate at the time of the particular claim.
These terms do not exclude or limit liability for death or personal injury resulting from our negligence or for anything else it would be unlawful to exclude or limit.

If you wish to send us notice relating to these terms, please do so by emailing us at [email protected]. Notice will be considered to be given one business day after transmission.
Changes to Affiliate Programme Terms
We may make changes to these terms at any time by posting new or updated terms to our Website. In the event that we change our terms, the updated terms will be emailed to the given email address on your Affiliate Account. If any of the changes in terms are unacceptable to you, you must terminate your membership to our Affiliate Programme immediately. If you continue to use your Affiliate code after notification, you will be deemed to have accepted our updated terms.

It is your responsibility as an Affiliate to ensure the email address associated to your Affiliate Account is up-to-date, Time Health will not be held responsible for any issues arising from an Affiliates failure to update their email address.
General
These terms and conditions constitute and govern the entire agreement between Affiliate and Time Health with regards to our Affiliate Programme, and take president over all other communications between Affiliates and Time Health in relation to the Affiliate Programme.
Neither you nor Time Health will be liable for any loss or damage resulting from the failure or delay to perform any of the terms mentioned here, if the delay or failure is due to events, occurrences, or causes beyond that party’s control, including but not limited to strikes, lockouts, acts of God, acts of war, riots, earthquakes, fires and explosions.
These terms are non-transferable and are personal to affiliates. The terms stated here shall not be construed as creating any rights under the Contracts Act 1999, enforceable by a third party.

Our Privacy Promise
With your consent the information you provide will be kept private and confidential and used to help support your customer relationship with Time Health Ltd. The information you provide us with is used to help you navigate our website effectively as well as making you aware of special offers and other updates from Time Health Ltd. We may share anonymous/anonymised information with third parties of Time Health Ltd. We keep your information confidential, in accordance with the General Data Protection Regulation (GDPR) (EU) 2018 and will not use it for any other purpose.

We collect marketing data including data about your preferences in receiving marketing from us as well as your communication preferences. Our lawful reason for this processing is our legitimate interests which in this case are to see how customers use our products/services in order to improve them and to grow our business and to decide our marketing strategy.
We may use Customer Data, User Data, Technical Data and Marketing Data to deliver relevant content and advertisements to you (including Facebook adverts or other display advertisements) and to measure the effectiveness of the marketing we serve to you. Our lawful reason for this processing is legitimate interests which is to grow our business. We may also use such data to send other marketing communications to you. Our lawful ground for this processing is either consent or our legitimate interest to grow our business.
What information is collected?
If you register, log in or submit information through our website, we will know who you are and your activities when using our website and the contact information you provide us will be saved on our systems. We do not hold onto any payment data.
When you place an order with Time Health Ltd we gather and utilise information such as your email address and delivery address. Likewise, a contact telephone number may be required so that Time Health Ltd or our courier/postal services can get in touch with you if important. The personal information you provide us with will be processed in accordance with GDPR.
What do we do with the collected information?
Once collected we use the data for internal record keeping and, with your consent, keeping you up to date with new products, offers and updates. We will also use the data to improve our services and website.
Who do we share this information with?
We may share your information with third party partners acting on behalf of Time Health Ltd. The information will only be used to fulfil a service and processed in accordance with GDPR.
How do we protect your data?
We take special care in protecting your data. We have physical and digital measures in place to ensure it is kept secure at all times.
We guarantee to never discharge any of your details to third parties for marketing purposes other than our own. We agree completely with the information protection and consumer legislation implicit rules, we will treat your information as completely private.
How can you access the data?
As part of the GDPR regulations you have a right to access the information we hold on you. If you wish to obtain a copy of the information we keep on you, you can do so by contacting us by email and we will send you a document containing all the information we hold on you.
How can I cancel my account?
In accordance with GDPR, you have the right to cancel your account and anonymise your data. To do this, contact us by phone or email and one of our advisers will assist you. Due to legal requirements, invoices, credit notes & sales orders will remain.
Please note that this action is not reversible. Should you wish to order from us after you have anonymised your data, you will have to sign up for a new account.
Unsubscribing from Newsletters
You may unsubscribe at any time from our newsletters. To unsubscribe from our newsletter, either call or email and one of our advisers will remove you from the mailing list. Alternatively, you can click the “unsubscribe” link which is at the bottom of every newsletter we send.
To unsubscribe from our email newsletter, please click the “unsubscribe” link on the footer of all mailings.
Payments
Time Health Ltd uses two third party secure payment providers, Sagepay and Paypal to take your payment details. Time Health Ltd at no point handles your payment details nor have the ability to store them in any way.

Additional
Sometimes our site may contain connections to different sites. However, once you have accessed these connections and have left our site we cannot be held responsible for the security and protection of any information which you provide while going to and utilising these sites.
